A form that public companies must file with the Securities and Exchange Commission when a significant event happens that investors should know about. These events can include major acquisitions, leadership changes, or bankruptcy. The company must file this form quickly, usually within four business days of the event.

In practice

When a company's CEO suddenly resigns, the company must file an 8-K to inform investors about this major change in leadership within a few days.
